Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you" or "your") and 3Spread Ltd. ("3spread," "we," "us," or "our") and govern your access to and use of the 3spread website, APIs, and related services (collectively, the "Services").

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Services Overview

3spread provides a financial data platform that delivers structured data derived from public filings with the U.S. Securities and Exchange Commission ("SEC"). The Services include access to APIs, documentation, and related tools that allow users to retrieve and use this data.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into these Terms
  • Are not located in a country subject to a U.S. government embargo
  • Are not listed on any U.S. government list of prohibited or restricted parties
  • Will comply with all applicable laws and regulations in your use of the Services

3. Account Registration

To access the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password and API keys secure and confidential
  • Not share your account credentials or API keys with any third party
  • Notify us immediately of any unauthorized access to your account

You are solely responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Account Tiers and Data Usage Rights

The Services are offered under different account tiers, each with specific usage rights. Your usage of data obtained through the Services is governed by your account tier.

4.1 Beta Tier

Beta accounts are provided during the beta testing period and are intended for personal, non-commercial use only. Beta tier users may:

  • Access the Services for personal research and evaluation
  • Use data for individual, non-commercial purposes

Beta tier users may not:

  • Use data for commercial or business purposes
  • Redistribute, resell, sublicense, or publicly display the data
  • Use data to provide services to third parties

4.2 Commercial Tier

Commercial accounts are intended for internal business use. Commercial tier users may:

  • Access the Services for internal business operations
  • Use data for internal research, analysis, and decision-making

Commercial tier users may not:

  • Redistribute, resell, sublicense, or publicly display the data to third parties
  • Use data to build products or services for external customers
  • Share data outside of their organization

4.3 Enterprise Tier

Enterprise accounts are intended for commercial use including redistribution. Enterprise tier users may:

  • Access the Services for any lawful commercial purpose
  • Redistribute, display, or incorporate data into products and services for third parties
  • Use data to build products or services for external customers

Enterprise tier usage rights may be further defined in a separate agreement.

4.4 Derived Data

Notwithstanding the restrictions above, any data you create through your own calculations, analysis, or transformations of the data provided by the Services ("Derived Data") is owned by you, and you may use such Derived Data without restriction, provided that the underlying raw data from the Services is not directly extractable from such Derived Data.

4.5 Tier Changes

You may request a change to your account tier by contacting us at team@3spread.com. Tier changes are subject to our approval and may require a separate agreement or payment of applicable fees.

5. API Usage

Your use of the 3spread APIs is subject to the following:

  • You must use a valid API key to access the Services
  • API keys are personal to your account and may not be shared
  • You agree not to circumvent, disable, or interfere with any rate limits, authentication mechanisms, or security features of the Services
  • You agree not to use the Services in a manner that could damage, disable, overburden, or impair the Services

6. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Build a product or service that competes with the Services
  • Scrape, crawl, or collect data from the Services by any means other than the provided APIs
  • Perform bulk downloads, extract substantial portions of the dataset, or use automated means to systematically copy or store data beyond normal API usage
  • Use data obtained from the Services to train machine learning or artificial intelligence models, unless expressly authorized under an Enterprise agreement
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Transmit any viruses, malware, or other malicious code
  • Use the Services for any fraudulent or deceptive purpose
  • Resell, sublicense, or redistribute access to the Services or API keys
  • Misrepresent your identity or affiliation
  • Use the Services in any manner that violates the usage rights of your account tier

We reserve the right to monitor your use of the Services to ensure compliance with these Terms, including your account tier restrictions. We may suspend or terminate accounts that violate these Terms.

7. Intellectual Property

7.1 3spread Property

The Services, including all software, APIs, documentation, trademarks, and other materials provided by 3spread, are owned by 3spread or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no other rights are granted to you.

7.2 Data Rights

The data provided through the Services is derived from public SEC filings, which are in the public domain. However, our structured datasets, normalization, standardization, and data processing constitute original works protected by copyright and database rights. Your rights to use data obtained through the Services are limited by your account tier as described in Section 4. You may not claim ownership of the raw data or structured datasets provided by the Services.

7.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose without compensation to you.

8. Data Accuracy and Source

8.1 Data Source

The data provided through the Services is derived from publicly available filings submitted to the U.S. Securities and Exchange Commission (SEC). We process and structure this data to make it accessible through our APIs.

8.2 No Guarantee of Accuracy

While we make reasonable efforts to provide accurate data, we do not guarantee the accuracy, completeness, timeliness, or reliability of any data provided through the Services. The SEC filings from which our data is derived may contain errors, omissions, or inaccuracies, and we are not responsible for any such errors in the source data.

You are solely responsible for verifying any data obtained through the Services before relying on it. We strongly recommend that you consult the original SEC filings for any data critical to your decisions.

9. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, available at 3spread.com/privacy. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. Please review the Privacy Policy to understand our practices regarding your personal information.

10. Financial Disclaimer

THE SERVICES ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. NOTHING PROVIDED THROUGH THE SERVICES CONSTITUTES INVESTMENT, LEGAL, TAX, OR FINANCIAL ADVICE, NOR IS IT A RECOMMENDATION TO BUY, SELL, OR HOLD ANY SECURITY OR FINANCIAL PRODUCT.

YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND MAKING YOUR OWN INVESTMENT AND FINANCIAL DECISIONS. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING ANY INVESTMENT OR FINANCIAL DECISIONS.

3SPREAD IS NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR FINANCIAL PLANNER.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE FULLEST EXTENT PERMITTED BY LAW, 3SPREAD DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA OR CONTENT
  • WARRANTIES REGARDING THE AVAILABILITY OR UPTIME OF THE SERVICES

WE DO NOT GUARANTEE ANY SPECIFIC LEVEL OF SERVICE AVAILABILITY OR UPTIME.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 3SPREAD OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR DATA
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL
  • COST OF SUBSTITUTE SERVICES
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
  • ANY DAMAGES ARISING FROM ERRORS, INACCURACIES, OR OMISSIONS IN THE DATA

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF 3SPREAD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF 3SPREAD FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless 3spread and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any data or content you create using the Services
  • Any products or services you build using data from the Services

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at team@3spread.com or by using the account deletion feature in the Services, if available.

14.2 Termination by 3spread

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Discontinuation of the Services

14.3 Effect of Termination

Upon termination:

  • Your right to access and use the Services will immediately cease
  • Your API keys will be deactivated
  • We may delete your account data in accordance with our Privacy Policy
  • Sections 7, 8, 9, 10, 11, 12, 15, and 16 shall survive termination

15. Modifications

15.1 Modifications to the Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

15.2 Modifications to These Terms

We may modify these Terms at any time by posting the revised Terms on our website. The "Last Updated" date at the top of these Terms will indicate when the latest changes were made. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.

17. Dispute Resolution

17.1 Mandatory Arbitration

BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL. Any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Colorado.

To initiate arbitration, you must send a written notice describing your claim to team@3spread.com. If the dispute is not resolved within 30 days, either party may commence arbitration proceedings with AAA.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

17.2 Class Action Waiver

YOU AND 3SPREAD AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and 3spread agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

17.3 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and 3spread regarding the Services.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

The failure of 3spread to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

18.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

18.6 Force Majeure

3spread shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet or infrastructure failures.
